1. Who we are
Slipsheet is operated by Vorby Studios ("Slipsheet," "we," "us"). These Terms of Service govern your use of the Slipsheet website, application, and related services (together, the "Service"). By creating an account or using the Service, you agree to these terms.
2. The ledger, briefly
Slipsheet extracts structured data from receipts you submit — vendor, date, total, tax, category, line items — using automated vision models. You review the extractions, correct anything the model squinted at, and export the results. We help tally; you sign off.
3. Your account
- You must be at least 18 years old and able to enter into a binding contract.
- You are responsible for the security of your login credentials and for activity under your account.
- One human, one account. You may not share a single account across an organization unless you are on a plan that explicitly permits it.
- Notify us promptly at support@vorby.com if you suspect your account has been compromised.
4. Your content
Receipts, documents, metadata, and any other material you upload to the Service ("Your Content") remain yours. You grant us a limited, non-exclusive license to host, process, and display Your Content solely to operate the Service for you — for example, to run extraction, store records in your ledger, and return exports on request.
We do not use Your Content to train machine-learning models. We do not sell Your Content. You can export or delete it at any time; deletions cascade to receipts, extractions, and attachments associated with your account.
5. Acceptable use
You agree not to:
- Submit content you do not have the right to submit, or that violates another party's rights.
- Use the Service to process illegal, fraudulent, or deceptive receipts or records.
- Reverse-engineer, resell, or wrap the Service as a competing product.
- Attempt to disrupt the Service, circumvent rate limits, or access other users' accounts.
- Use automation to scrape, crawl, or mass-export beyond the export features we provide.
6. Plans, billing, and trials
- Paid plans are billed in advance on a monthly or annual cycle, via our payment processor (Stripe).
- Free trials, if offered, convert to a paid plan at the end of the trial unless you cancel beforehand.
- You can cancel any time from your billing page; the cancellation takes effect at the end of the then-current billing period. We do not prorate partial-period refunds except where required by law.
- We may change plan pricing or the features included in a plan. We will give reasonable advance notice (at least 30 days) of material changes that affect your current plan.
7. Usage limits and overage
Each plan includes a monthly receipt allowance. If you approach or exceed your allowance, we'll notify you and offer a one-click upgrade or top-up. We don't hard-cut you off mid-quarter without warning, but we reserve the right to throttle or pause processing if usage is materially beyond your plan.
8. Third-party services
The Service uses third-party providers, including Google (Gemini for extraction; Sheets for export), Microsoft (Excel sync), Supabase (database and auth), and Stripe (billing). Your use of features that rely on these providers is also subject to their terms. We are not responsible for third-party outages or changes to their APIs, but we will work in good faith to maintain the integrations we advertise.
9. Extraction accuracy — read this
Automated extraction is never perfect. We report field-level accuracy estimates on our marketing pages, but any given receipt may contain errors: misread totals, wrong dates, miscategorized line items. You are solely responsible for reviewing extractions before relying on them for accounting, tax, reimbursement, or legal purposes. Slipsheet is a tool — not a replacement for your judgment or your accountant.
10. Intellectual property
The Service, including the software, design, trademarks, and all original content (excluding Your Content), is owned by Vorby Studios and protected by copyright and other laws. We grant you a limited, non-transferable, revocable license to use the Service in accordance with these Terms.
11. Feedback
If you send us ideas, suggestions, or feature requests, you grant us a perpetual, royalty-free license to use them without obligation to you. (We will still love you for sending them.)
12. Termination
You can close your account at any time from the billing page or by writing to support. We may suspend or terminate accounts that breach these Terms, abuse the Service, or put other users at risk. If we terminate your account, we'll give you a reasonable window to export Your Content, unless doing so would be unlawful or unsafe.
13. Disclaimers
The Service is provided "as is" and "as available," without warranties of any kind — express or implied — including merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be error-free, uninterrupted, or that extractions will be accurate.
14. Limitation of liability
To the maximum extent permitted by law, Vorby Studios will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or goodwill, arising out of or relating to the Service. Our total liability for any claim relating to the Service is limited to the amounts you paid us in the twelve (12) months preceding the claim.
15. Indemnity
You agree to defend, indemnify, and hold harmless Vorby Studios from any claims, damages, or expenses arising from Your Content or your violation of these Terms.
16. Governing law
These Terms are governed by the laws of the State of Utah, USA, without regard to its conflict-of-law principles. Any dispute will be resolved in the state or federal courts located in Utah, and you consent to that jurisdiction.
17. Changes to these Terms
We may update these Terms from time to time. If a change is material, we'll notify you by email or in-app notice before it takes effect. Continued use of the Service after the effective date of an update constitutes acceptance of the updated Terms.
